Abstract

A crise do sub prime norte americana espalhou-se como um vírus letal. De crise local, transformou-se em crise nacional para se transformar em crise global. Nestes últimos anos fomos assistindo à queda de grandes bancos levando atrás de si os Estados que se dispunham a salvá-los. Os contornos e consequências da crise são extensos e ainda não totalmente visíveis. Importa reflectir nos antecedentes desta crise para melhor percebe-la e melhor tratar as sequelas da mesma. A História dá-nos a perspectiva necessária e ajuda-nos a compreender o que não alcançamos no turbilhão dos acontecimentos. Por outro lado, o conhecimento do enquadramento jurídico permite-nos aferir se é necessário a elaboração de outras Leis ou se na realidade falta uma efectiva aplicação das normas jurídicas existentes. Nos nossos dias o Corporate Governance assume um papel relevante e vital para as Instituições de Crédito, contribuindo para uma maior e contínua sustentabilidade das mesmas, e das sociedades onde as mesmas se inserem. Impõe-se uma gestão prudente das Instituições de Crédito que a todos sirva (stakeholders e shareholders) e não apenas alguns.

The sub prime crisis in the U.S. spread like a deadly virus. Local crisis, became national crisis to become global crisis. In recent years we have been witnessing the fall of major banks behind the leading states were willing to save them. The contours and consequences of the crisis are extensive and not fully visible. It´s important to reflect on the crisis history to better realize it and better treat it’s sequeles. History gives us the necessary perspective and helps us understand what we have not reached the whirlwind of events. On the other hand, knowledge of the legal framework allows us to assess whether it is necessary to the development of other Laws or actually lack the effective implementation of existing legal norms. Nowadays the Corporate Governance plays a vital role on Credit Institutions, contributing to their sustainability, and to the sustainability of the societies where they are located. A prudent management of credit institutions must serve all (stakeholders and shareholders) and not just some.
